Anthropic files S-1 for Nasdaq IPO, reporting $16.3bn half-year revenue

  • Anthropic filed a Form S-1 on 26 October 2026 and applied to list Class A stock on Nasdaq as ANT; share count and price range are blank.
  • Revenue was $16.3 billion for the six months ended 30 June 2026, up from $1.2 billion a year earlier, with an operating loss of $693 million.
  • The half-year net loss was $80.7 billion, of which $72.4 billion is a change in the fair value of convertible notes, derivative liabilities and SAFEs, the S-1 says.

Anthropic, PBC filed a Form S-1 with the SEC on 26 October 2026 for an initial public offering of its Class A common stock. It has applied to list on the Nasdaq Global Select Market under the symbol ANT. The number of shares and the price range are blank in the filing, and Anthropic says the registration statement has not yet become effective. The prospectus lists 18 underwriters; Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are their representatives. The filing reports revenue of $16.3 billion for the six months ended 30 June 2026, against $1.2 billion in the same months of 2025, and an operating loss of $693 million. Its net loss for the half-year is $80.7 billion, of which $72.4 billion is a change in the fair value of convertible notes, derivative liabilities and SAFEs, driven mainly by the rise in Anthropic's enterprise valuation. In its section on enterprise adoption of Claude, the S-1 says that at 30 September 2026 more than 11,900 customers each spent $100,000 or more over the trailing twelve months, more than 1,900 spent $1 million or more and about 250 spent $10 million or more. It says over half of the $100,000-plus customers used Claude Platform and at least one first-party application, such as Claude Code or Claude Cowork. Governance is set out at length: a Long-Term Benefit Trust elects a majority of the board through Class T stock, and a Class F share held by a founders' LLC carries 50.1% of general voting power.

What it means for you Our view

If Claude is part of your stack, read the S-1 sections on enterprise adoption and compute commitments before your next renewal. The filing is a draft: Anthropic says it has not yet become effective and leaves the share count and price range blank, so figures can change. The $80.7 billion net loss is mostly the $72.4 billion fair-value change, so the $693 million operating loss is the better measure of the business. The S-1 says over 50% of its $100,000-plus customers use Claude Platform and at least one first-party application such as Claude Code or Claude Cowork. Ask your Anthropic account team how the listing affects contract terms and pricing.

OpenAI says GPT-6.1 Terra meets Critical cybersecurity threshold, at half GPT-5.6 Terra's price

  • OpenAI published GPT-6.1 Terra on 26 October 2026 for Plus, Pro, Enterprise and Edu users in ChatGPT Work and Codex, and in the API as gpt-6.1-terra.
  • API pricing is $1 per million input tokens, $0.05 per million cached input tokens and $5 per million output tokens, which OpenAI says is 50% below GPT-5.6 Terra.
  • OpenAI says GPT-6.1 Terra meets the Critical threshold in cybersecurity under its Preparedness Framework and keeps the protections developed for GPT-6 Astra.

OpenAI introduced GPT-6.1 Terra on 26 October 2026, describing it as a fast model for computer use and visual reasoning. It is available to Plus, Pro, Enterprise and Edu users in ChatGPT Work and Codex, and through the API as gpt-6.1-terra. Standard API pricing is $1 per million input tokens, $0.05 per million cached input tokens and $5 per million output tokens. The benchmark figures in OpenAI's post are OpenAI's own results. The post says GPT-6.1 Terra meets the Critical threshold in cybersecurity under OpenAI's Preparedness Framework.

What it means for you Our view

If you run GPT-5.6 Terra or GPT-6.1 Sol in production, rerun your own tasks on gpt-6.1-terra before switching. OpenAI's benchmark gains, such as 50.3% on Terminal-Bench 4.0 against 21.5% for GPT-5.6 Terra, are its own results. OpenAI also says GPT-6.1 Sol and GPT-6 Astra remain the better choice for the most complex coding tasks. The Critical cybersecurity designation is OpenAI's statement about its own model, and the explainer below sets out what that level means. Before you give Terra computer use, ask your security team whether your agent permissions and outbound controls need review.

Anthropic's S-1 lists compute commitments it must generally pay whatever its revenue

  • The S-1 says Anthropic committed to spend at least $114.5 billion with Google by July 2033 and at least $110.0 billion with Amazon by April 2036, regardless of actual usage.
  • The SpaceXAI arrangements are worth up to $120.5 billion, about $3.1 billion a month once delivered, and either side may cancel on 90 days' notice after January and March 2027.
  • AMD's agreement sets no fixed commitment; Anthropic expects over $20.0 billion if it buys full initial capacity. Broadcom leases total about $161.2 billion rent over their life, excluding interest.

Anthropic's S-1 describes its most significant compute arrangements, which it says generally must be satisfied regardless of its revenue or utilization. It lists commitments to Microsoft, Google, Amazon, SpaceXAI, Nscale and Lambda, a hardware supply agreement with AMD, and five-year master equipment leases with Broadcom. The totals are the filing's own figures for each agreement.

What it means for you Our view

If you depend on Claude for production work, note that the S-1 says these commitments generally must be satisfied regardless of Anthropic's revenue or utilization. The SpaceXAI agreements can be cancelled on 90 days' notice after their initial periods. The AMD figure is Anthropic's expectation, not a commitment. Ask your Anthropic account team whether committed capacity affects your rate limits or pricing terms, and read the compute section again when the filing is amended.
